Welcome to RankPilot. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Agency", or "Customer") and Ingrows ("Company", "we", "us", or "our"), governing your access to and use of the RankPilot software-as-a-service (SaaS) platform, including any associated media, widgets, white-label portals, and reports (collectively, the "Service").

By registering an account, connecting your Google Business Profile (GBP), or utilizing any features of RankPilot, you agree to be bound by these Terms. If you do not agree, you must immediately cease all access and use of the Service.

1. User Account Registration & Agency Settings

To access the full suite of local SEO monitoring and AI copywriting tools, you must register for an account. You represent and warrant that:

• All information provided during registration (including email, company name, and billing details) is accurate, current, and complete.
• You will maintain the security of your password and accept all risks of unauthorized access to your account.
• You possess the legal authority to bind your organization or agency to these Terms.

2. Subscription Billing, Payments, and Upgrades

RankPilot offers paid subscription plans (including Growth and Agency Pro plans) billed in advance on a recurring monthly or annual basis. All transactions are securely processed through our third-party billing processor, Stripe.

• Payment Collection: You agree to provide a valid payment method. By subscribing, you authorize us to charge your payment method for all recurring subscription fees, taxes, and usage-based overages.
• Plan Upgrades/Downgrades: If you upgrade your plan, the change takes effect immediately, and you will be billed a prorated amount. Downgrades take effect at the end of the current billing cycle.
• Delinquency: Failure to pay fees within 7 days of the invoice date will result in temporary suspension of write functions and geogrid audits, followed by complete account suspension.

3. Satisfaction Guarantee and Refund Policy

We are dedicated to building high-quality tools for agencies. To ensure confidence, we provide the following refund terms:

• 14-Day Refund Window: First-time subscribers are entitled to a full refund within 14 calendar days of their initial purchase if they are unsatisfied with the Service.
• Cancellation & Renewal Policy: After the 14-day refund window, all subscription fees are non-refundable. You can cancel your subscription at any time via the Billing Dashboard. Upon cancellation, your service will remain active until the end of your prepaid billing period, and no further charges will occur.
• Refund Processing: Refund requests must be emailed to contact@ingrows.in. Once approved, the funds are returned to the original payment method within 5 to 10 business days.

4. Third-Party API Terms Compliance

RankPilot integrates with third-party application programming interfaces (APIs), most notably Google APIs, to sync location listings, fetch metrics, display analytics, and publish updates. By using RankPilot, you explicitly agree to comply with and be bound by:

1. The Google APIs Terms of Service.
2. The Google Business Profile API Policies.
3. The Google Maps/Google Earth Additional Terms of Service.
4. The Google Privacy Policy.

You agree that you will not use our integration with Google APIs for any deceptive, malicious, or abusive activities. Any violation of these third-party terms by you may result in the immediate termination of your RankPilot account and a permanent ban from our platform.

5. Acceptable Use and Prohibited Activities

You agree to use RankPilot solely for lawful local SEO optimization, reputation management, and reporting. You must not:

• Connect Google Business Profiles or website domains for which you do not have explicit management rights or client authorization.
• Utilize the AI reply assistant or posting modules to generate spam, misleading reviews, fraudulent replies, or content that violates search engine guidelines.
• Use scrapers, robots, or automated extraction tools to copy database structures, geogrid code, or dashboard interfaces.
• Reverse engineer, decompile, or attempt to extract the source code of RankPilot.

6. Limitation of Liability and Warranty Disclaimer

RankPilot is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.

We do not guarantee that your Google Business Profiles will achieve specific search rankings, map pins, review counts, or business revenue targets. We have no control over Google's search algorithms, ranking criteria, or local search listing suspensions. Under no circumstances shall Ingrows, its officers, or developers be liable for any direct, indirect, incidental, or consequential damages resulting from search engine suspensions, account bans, or data losses. Our maximum aggregate liability for any claim shall not exceed the amount you paid to us in the twelve (12) months preceding the incident.

7. Account Suspension & Termination

We reserve the right, in our sole discretion, to suspend or terminate your account and erase all associated workspace records if you violate these Terms, engage in behavior that harms platform performance, or upon request by legal authorities. You may also request voluntary account closure and data purging at any time by contacting support.

8. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any legal action, suit, or proceeding arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Gwalior, Madhya Pradesh, India.
